If you do not agree to these terms, please do not use Smart Event!

Smart Event provides a digital app-building platform ("Smart Event") for event organizers to create branded and feature-rich mobile event applications. By registering on Smart Event, you agree to these Terms of Use ("Terms").

1. Introduction

These Terms are binding on all users of Smart Event. Any disputes arising from these Terms will be subject to individual arbitration. If you disagree with any of these Terms, please discontinue using Smart Event.

2. Definitions

• "We," "Us," and "Our" refer to Smart Event, owned and operated by Treasures Company Ltd (Events Factory).
• "You," "Your," and "Client" refer to event organizers using Smart Event.

3. About Smart Event

Smart Event is developed by Treasures Company Ltd (Events Factory), a software development company. Smart Event is a customizable platform for building event apps for business conferences, tech events, etc. We do not accept apps for political, social, gambling, entertainment, finance, or bitcoin-related events. 4. Intellectual Property

All content on the Smart Event website, including images, videos, text, and designs, is our property. Unauthorized reproduction, reselling, manipulation, or misuse of our intellectual property will be prosecuted.

5. Privacy

We protect your information according to our Privacy Policy. By using Smart Event, you acknowledge you have read the Privacy Policy.

6. Third-Party Links

Smart Event may contain links to external websites. We are not responsible for the accuracy or content of those websites.

7. Acceptable Use

You agree to abide by generally accepted "Acceptable Usage Standards." This includes:

• Not creating network issues or spamming other users.
• Not sharing inappropriate content for minors.
• Not engaging in abusive online behavior.
• Not using automated tools to adversely affect Smart Event's performance.
• Not attempting to share hidden content or solicit confidential information.

Violation of these standards may result in account termination.

8. Subscription Model and App Ownership

Smart Event provides a subscription-based service to build event apps for a predetermined term. While you control the content within your app, the underlying app platform, core functionalities, and source code remain the property of Smart Event. This means you are licensing the use of our platform for a set period, similar to renting an apartment. Once the subscription term expires, your access and app functionality will cease. You will not be provided with the source code, and any attempt to decompile or reverse engineer the platform is strictly prohibited. This ensures the security and integrity of our platform for all users.

9. Monthly Active Attendee (MAA)

An MAA is a unique attendee record on the platform that has at least one activity recorded within a specific month. This activity can include being added to the platform, receiving event communication, logging in, having a badge printed, or any other interaction related to their event participation.

10. Age Restriction

Smart Event is intended for users over 18 years of age.

11. Your App Content

• You retain ownership of all content included in your app.
• You can add, edit, or remove content from your app at any time.
• We may use your anonymized app content to improve Smart Event.

13. Mobile and Web Compatibility

Smart Event allows you to create apps for iOS, Android, and web platforms. Smart Event's functionality may slightly differ between platforms due to platform capabilities or hardware. While we strive to make the apps available for as many devices as possible, we do not guarantee that all functions will perform the same on all devices.

14. Disclaimer of Warranties

Smart Event is provided on an "as-is" basis. We make no warranties regarding its functionality or performance. We are not liable for any damages or losses arising from your use of Smart Event.

15. System Maintenance & Server Outage Clause

Smart Event may be unavailable for scheduled maintenance. We will notify you of such maintenance in advance.

Service Outage:

Smart Event will make reasonable efforts to ensure the continuous availability of its servers and services. However, Smart Event cannot guarantee uninterrupted service due to factors beyond its control, such as maintenance, upgrades, technical issues, or unforeseen circumstances.

In the event of a server outage:

• Smart Event will take prompt action to resolve the issue and restore services.
• Smart Event shall not be held liable for any loss of data, revenue, or other damages resulting from the outage.
• In cases where compensation is deemed appropriate, the maximum compensation provided by Smart Event shall not exceed the amount paid by the user for the service during the affected period.

Service credits are issued upon request and may not exceed the amount paid by the user for the applicable month. They are the sole and exclusive remedy for any service unavailability. Users are encouraged to maintain independent backups of their data to minimize risks associated with service interruptions. Smart Event reserves the right to schedule maintenance that may result in temporary downtime, which will be communicated in advance where feasible.

16. Refund Policy

All payments are final. There are no refunds once the purchase has been made. In exceptional circumstances, Smart Event management may offer refunds on a case-by-case basis. However, there are no refunds for breaches of our Terms of Use.

17. Updates and Changes

We may update these Terms or Smart Event at any time without prior notice.

18. Account Termination

• You may terminate your Smart Event account at any time, except in case of violation of Acceptable Usage Standards.
• We reserve the right to terminate your account for inactivity or other reasons, after providing you with written notice.

19. Voluntary Use

You use Smart Event voluntarily. There is no compulsion to use our services.

20. No Ads / Data Privacy

At Smart Event, we are committed to protecting your privacy and the privacy of your attendees. We do not bombard users with advertisements and we do not sell your data to third parties. Our revenue model is based on subscriptions, allowing us to focus on providing the best possible tools to create successful events.

21. Data Retention

Smart Event is committed to protecting your data and adhering to all applicable data privacy regulations, including the General Data Protection Regulation (GDPR). We will only retain your data for as long as necessary to fulfill the purposes for which it was collected, and in accordance with any legal or regulatory requirements.

You can request to delete your data by emailing support@eventsfactory.rw.

22. Indemnification

To the extent permitted by applicable law, each party (the "Indemnifying Party") agrees to indemnify, defend, and hold harmless the other party (the "Indemnified Party") from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• A breach of this Agreement by the Indemnifying Party; or
• The Indemnifying Party's use of Smart Event, provided that the foregoing indemnification obligation shall not apply to the extent such claim, loss, damage, liability, cost, or expense arises out of or relates to the negligence, willful misconduct, or bad faith of the Indemnified Party, its officers, directors, employees, or agents.

23. Governing Law and Dispute Resolution

These Terms of Use shall be governed by and construed in accordance with the laws of Rwanda. Any dispute arising out of or relating to these Terms of Use or your use of Smart Event shall be resolved by binding arbitration in Rwanda.

24. Entire Agreement

These Terms of Use constitute the entire agreement between you and Smart Event regarding the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

25. Severability

If any provision of these Terms of Use is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

26. Waiver

No waiver of any breach of any provision of these Terms of Use shall constitute a waiver of any other provision or any subsequent breach.
